General Terms of Sale

These General Terms of Sale (hereinafter "GTS") define the contractual conditions applicable to any subscription to the paid services offered by STOWY via the ICEINSIGHT application.

Article 1 - Definitions

In these GTS, the following terms have the meanings attributed to them below:

  • "Customer": any natural or legal person subscribing to a paid Subscription
  • "Subscription": the service provision contract concluded between the Customer and the Provider
  • "Services": the premium features of the ICEINSIGHT application accessible via a Subscription
  • "Provider": STOWY company, publisher of the ICEINSIGHT application
  • "Billing Period": the period (monthly or annual) for which the Customer is billed

Article 2 - Purpose and Scope

2.1 Purpose

These GTS aim to define the conditions under which the Provider provides the Customer with access to the premium Services of the ICEINSIGHT application, a strategic monitoring and market intelligence service for professionals.

2.2 Acceptance

Any subscription to a Subscription implies unreserved acceptance of these GTS by the Customer. These GTS prevail over any other Customer document, unless prior written agreement from the Provider.

2.3 Modification

The Provider reserves the right to modify these GTS. Modifications will be notified to the Customer at least thirty (30) days before their entry into force. Customers who do not accept the new conditions may cancel their Subscription free of charge before their entry into force.

Article 3 - Description of Services

3.1 Available Plans

The Provider offers the following plans:

3.2 Credit Packs

Free tier users can purchase additional credit packs to generate digests or Deep Dive explorations. Each digest consumes 10 credits, and each Deep Dive exploration consumes 5 credits (for 3 conversation messages).

Purchased credits are valid for one (1) year from their purchase date. Current prices are displayed in the application at the time of purchase. The Provider reserves the right to modify its prices at any time. Any price modification will be notified to the Customer at least thirty (30) days before its application and will only affect new Billing Periods.

3.3 Service Features

Services include:

  • Automated generation of personalized strategic information digests
  • In-depth topic analysis ("Deep Dive")
  • Competitor and market trend tracking
  • Weak signal detection
  • Information saving and organization
  • Multi-device access (mobile and web)

3.4 Availability

The Provider commits to implementing all reasonable means to ensure Service availability 24/7, subject to scheduled or emergency maintenance operations. The availability target is 99.5% on a monthly basis, excluding scheduled maintenance.

Article 4 - Subscription and Service Access

4.1 Subscription Conditions

To subscribe, the Customer must:

  • Be an adult natural person or a legally constituted legal entity
  • Have a valid user account on the ICEINSIGHT application
  • Provide accurate and complete information during subscription
  • Accept these GTS as well as the Terms of Use

4.2 Subscription Process

Subscription is made directly from the application following these steps:

  1. Selection of desired plan
  2. Order summary verification
  3. Acceptance of these GTS
  4. Payment information entry
  5. Final order validation
  6. Email confirmation

4.3 Activation

Service access is activated immediately after payment validation. A confirmation email is sent to the Customer summarizing their Subscription conditions.

Article 5 - Pricing and Payment Terms

5.1 Prices

Displayed prices are indicated in euros (EUR) excluding taxes. The applicable VAT is that in effect on the billing date according to the Customer's country of residence. The total price including taxes will be calculated and displayed during the payment process.

For Customers residing outside France: Displayed prices correspond to the final invoiced amount. French VAT (20%) does not apply to non-taxable Customers residing outside the European Union. For business Customers located in the European Union (excluding France), VAT is reverse-charged subject to providing a valid EU VAT number.

5.2 Subscription Periodicity

Subscriptions are offered with the following periodicities:

  • Monthly subscription: 24.90 EUR/month excl. tax, billed each month on the subscription anniversary date
  • Annual subscription: 21.17 EUR/month excl. tax (i.e., 254 EUR/year), annual billing with 15% discount compared to monthly

5.3 Payment Methods

Payments are made by credit card (Visa, Mastercard, American Express). For Enterprise plans, bank transfer payment may be accepted upon request.

5.4 Invoicing and Purchase Channels

Invoicing terms vary depending on the purchase channel:

  • Purchases made on the website or web application: Purchases are processed by our secure payment provider. Invoices are issued by STOWY SAS and made available to the Customer in their personal space and by email.
  • Purchases made from the mobile application (App Store or Google Play): Purchases are processed directly by Apple (App Store) or Google (Google Play). Invoices are issued by Apple or Google according to their own terms. STOWY SAS cannot issue invoices for these transactions. The Customer must refer to their Apple or Google account to obtain their purchase receipts.

5.5 Payment Default

In case of payment default:

  • The Provider will notify the Customer by email
  • A new payment attempt will be made within 3 days
  • In case of persistent failure after 3 attempts over 10 days, the Subscription will be suspended
  • Service access will be restored upon payment regularization
  • Late payment penalties may be applied in accordance with the law (ECB rate + 10 points)

Article 6 - Right of Withdrawal

6.1 Principle

In accordance with Articles L.221-18 et seq. of the French Consumer Code, the consumer Customer has a right of withdrawal of fourteen (14) calendar days from the Subscription date.

6.2 Exercise of Right of Withdrawal

To exercise the right of withdrawal, the Customer may:

  • Send an email to: kevin@stowy.fr
  • Use the withdrawal form available in the appendix
  • Send a letter to: STOWY, 50 Chemin des Caillots, 71670 Saint-Firmin, France

The Customer must clearly communicate their wish to withdraw, along with their contact details and order number.

6.3 Refund

In case of withdrawal, the Provider will refund all amounts paid within a maximum of fourteen (14) days from receipt of the withdrawal request, using the same payment method as that used for the initial transaction.

6.4 Exception

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised if the Customer has expressly consented to the commencement of Service execution before the end of the withdrawal period and acknowledged losing their right of withdrawal.

Article 7 - Duration and Renewal

7.1 Duration

The Subscription is taken out for the duration corresponding to the chosen periodicity (monthly or annual) from the subscription date.

7.2 Automatic Renewal

Unless cancelled by the Customer under the conditions provided in Article 8, the Subscription is automatically renewed for an identical duration at the end of each Billing Period.

The Customer will be notified by email at least seven (7) days before the renewal date for monthly subscriptions and thirty (30) days for annual subscriptions.

7.3 Subscription Modification

The Customer may modify their Subscription at any time (upgrade or downgrade). In case of upgrade, the price difference is calculated pro-rata for the remaining period. In case of downgrade, the change takes effect at the next Billing Period.

Article 8 - Cancellation

8.1 Cancellation by Customer

The Customer may cancel their Subscription at any time from their account settings in the application or by email to kevin@stowy.fr.

Cancellation takes effect at the end of the current Billing Period. The Customer retains Service access until that date. No pro-rata refund is made for the remaining period, except in cases provided in Articles 6 (withdrawal) and 8.4 (Provider breach).

8.2 Cancellation by Provider

The Provider may cancel the Customer's Subscription in the following cases:

  • Non-payment after formal notice remaining unsuccessful for 15 days
  • Serious or repeated violation of the TOU or these GTS
  • Fraudulent use of Services
  • Definitive cessation of Services (with 3 months notice)

8.3 Effects of Cancellation

On the effective cancellation date:

  • Premium Service access is deactivated
  • The account reverts to the Free plan (if maintained)
  • Data is retained in accordance with the Privacy Policy
  • The Customer may request data export before cancellation

8.4 Refund in Case of Breach

In case of serious breach by the Provider of its obligations (extended unavailability exceeding 72 consecutive hours, data loss), the Customer may cancel and obtain a pro-rata refund for the unused period.

Article 9 - Warranties

9.1 Legal Conformity Warranty

In accordance with Articles L.217-3 et seq. of the French Consumer Code, the Provider guarantees that the Services conform to the contract and the Customer's legitimate expectations.

In case of non-conformity, the Customer may:

  • Request Service conformity
  • Obtain a price reduction or contract termination if conformity is impossible

9.2 Hidden Defects Warranty

The Customer benefits from the hidden defects warranty provided in Articles 1641 et seq. of the Civil Code, allowing them to request contract termination or price reduction in case of a hidden defect making the Services unfit for their intended use.

9.3 Warranty Limits

The Provider does not guarantee:

  • The accuracy, completeness, or relevance of information provided in digests
  • The suitability of Services to the Customer's specific needs
  • The absence of interruption due to external factors (internet connection, devices)

Article 10 - Liability

10.1 Provider Liability

The Provider commits to performing its obligations with diligence and professionalism. Its liability is limited to direct and foreseeable damages resulting from a proven breach of its obligations.

In any event, the Provider's total liability under a Subscription shall not exceed the total amounts paid by the Customer during the twelve (12) months preceding the triggering event.

10.2 Exclusions

The Provider cannot be held liable for:

  • Decisions made by the Customer based on the information provided
  • Indirect damages (loss of revenue, data loss, reputational harm)
  • Malfunctions related to Customer equipment or connection
  • Use of Services in violation of TOU or GTS
  • Force majeure cases (Article 11)

10.3 Customer Liability

The Customer is solely responsible for their use of the Services and the information provided. They commit to using the Services in accordance with the TOU and applicable laws.

Article 11 - Force Majeure

Neither party shall be liable for non-performance of its obligations if such non-performance results from a force majeure event within the meaning of Article 1218 of the Civil Code.

The following are notably considered force majeure events:

  • Natural disasters, epidemics, pandemics
  • Wars, terrorism, riots
  • Government or regulatory decisions
  • General telecommunications network failures
  • Large-scale cyberattacks

The affected party will inform the other party as soon as possible. If the force majeure situation persists for more than three (3) months, either party may terminate the contract without compensation.

Article 12 - Intellectual Property

All elements composing the Services (software, algorithms, interfaces, content, trademarks, logos) are and remain the exclusive property of the Provider or its partners.

The Subscription grants the Customer a personal, non-exclusive, and non-transferable right to use the Services for the duration of the Subscription. Any unauthorized reproduction, representation, or exploitation is strictly prohibited.

Article 13 - Personal Data

Processing of Customer personal data is carried out in accordance with our Privacy Policy, which forms an integral part of these GTS.

Article 14 - Customer Service and Complaints

14.1 Support

The Customer may contact customer service by email at kevin@stowy.fr. The Provider commits to responding within 48 business hours.

14.2 Complaints

Any complaint must be sent by email with "Complaint" in the subject line. The Provider commits to processing the complaint and providing a reasoned response within thirty (30) days.

14.3 Mediation

In accordance with Article L.612-1 of the French Consumer Code, in case of unresolved dispute, the consumer Customer may resort free of charge to a consumer mediator. The contact details of the competent mediator will be provided upon request.

Article 15 - General Provisions

15.1 Entirety

These GTS, together with the TOU and Privacy Policy, constitute the entire agreement between the parties regarding the Subscription.

15.2 Severability

If any provision of these GTS is declared null, the other provisions shall remain valid and applicable.

15.3 Non-Waiver

The Provider's failure to enforce any breach by the Customer does not constitute a waiver of its right to enforce it subsequently.

15.4 Assignment

The Customer may not assign their rights under the Subscription without prior written agreement from the Provider. The Provider may freely assign these GTS to any affiliated company.

Article 16 - Applicable Law and Jurisdiction

These GTS are governed by French law. Any dispute relating to their interpretation or execution shall be submitted to the competent French courts.

For professional Customers, the Commercial Court of Chalon-sur-Saone shall have sole jurisdiction. For consumer Customers, the competent courts are those of their domicile or the place of contract conclusion.
